    1. Introduction & Agreement

     By accessing this website or placing an order, you agree to be bound by these Terms & Conditions, our Privacy Policy, and any order-specific terms. If you do not accept these Terms, please do not use the site or place orders.

    2. Definitions

    • ⦁ “You”/”Customer” refers to the person or organisation using our website or placing an order
    • ⦁ “Goods” means the medical and pharmaceutical products ordered.
    • ⦁ “Order” means your offer to purchase Goods, which becomes a binding contract only upon our written acceptance.
    • ⦁ “Writing” includes email, fax, or letter.

    3. Application & Amendment

    • ⦁ These Terms apply to all orders placed.
    • ⦁ We may amend the Terms at any time. It is your responsibility to review this page periodically for changes.

    4. Orders & Acceptance

    • ⦁ Acceptance of your Order occurs only when confirmed via email or order number.
    • ⦁ We reserve the right to accept or refuse any Order, in whole or part.
    • ⦁ Orders cannot be varied or cancelled by you except with our written approval.

    5. Price & Freight Handling Fee

    • ⦁ Prices are based on our current list at dispatch time and are exclusive of GST unless stated.
    • ⦁ We may adjust prices.

    6. Payment & Credit Terms

    • ⦁ Payment is due at the time of ordering if placed on the website.
    • ⦁ Payment within 30 days of invoice is required for Order Form method, unless otherwise agreed in writing.
    • ⦁ No setoffs are permitted

    7. Retention of Title

    • ⦁ Ownership of Goods remains with us until full payment is received.
    • ⦁ You hold Goods as bailee and owe fiduciary duties until payment.

    8. Security Interest (PPSA)

    • ⦁ You grant us a security interest in Goods and proceeds under the Personal Property Securities Act 2009 (Cth). This includes goods mixed or transformed.
    • ⦁ You authorise us to register any necessary financing statements and to require updates to your information.
    • ⦁ You may not grant other security interests in priority to ours without prior written consent
    • ⦁ On default (e.g., non-payment, insolvency), we may repossess Goods and enforce rights under the PPSA.

    9. Delivery & Risk

    • ⦁ Goods are dispatched from our Sydney warehouse (or other location advised).
    • ⦁ Risk passes to you upon dispatch.
    • ⦁ Delivery times are estimates; we are not liable for delays due to unforeseen events or courier issues.

    10. Cancellation, Returns & Refunds

    • ⦁ You may cancel an Order only with our written consent and early in the dispatch process; restocking or handling fees may apply.
    • ⦁ Returns must comply with the Australian Consumer Law and be unused, in original condition and packaging
    • ⦁ Faulty, mis-described, or unfit Goods qualify for statutory remedies.

    11. Compliance & Product Handling

    • ⦁ As a wholesale distributor of medicines, we comply with the Australian Code of Good Wholesaling Practice for Medicines and relevant State regulations.
    • ⦁ You must store and use Goods following label and regulatory requirements.

    12. Intellectual Property & Branding

    • ⦁ All content on this website—including trademarks, logos, product images, and text—is owned by or licensed to us. Reproduction or distribution is prohibited without prior permission.

    13. Limitation of Liability

    • ⦁ To the extent lawful, our liability is limited to the invoice price of the relevant Goods.
    • ⦁ We exclude liability for indirect or consequential losses (like lost profits), except where prohibited under law.

    14. Acceptable Use of Website

    • ⦁ You agree not to misuse the site—for example, by uploading harmful software, impersonating others, or reverse-engineering content.
    • ⦁ Breach may lead to termination of access and legal consequences.

    15. Privacy

    • ⦁ Collection and handling of personal information is governed by our Privacy Policy, compliant with the Privacy Act 1988 and Australian Privacy Principles (APPs).

    16. Governing Law & Jurisdiction

    • ⦁ You submit to the exclusive jurisdiction of the courts of New South Wales.

    17. Severability

    • ⦁ If any provision is invalid or unenforceable, it does not affect the validity of the remaining provisions.
